Consulting engagements

Scoped work is governed by the proposal or engagement letter we issue, including fees, deposits, deliverables, and timelines. Where these website terms conflict with a signed engagement letter, the engagement letter prevails for that work.

Intellectual property

Reports, frameworks, and written materials we prepare for a client remain our intellectual property until fees for those deliverables are paid in full, after which the client receives a licence to use them internally. You may not republish our website content without permission.

Client responsibilities

Clients provide accurate purchase, supplier, and freight information and arrange reasonable access to sites and staff. Delays in providing documents may extend timelines without reducing fees already earned for work completed.

Liability

To the extent permitted by New Zealand law, including the Consumer Guarantees Act 1993 where it applies, we are not liable for indirect or consequential loss arising from use of this website. For consulting work, liability is limited to the fees paid for the engagement giving rise to the claim, except where liability cannot be limited by law.

Governing law

These terms are governed by the laws of New Zealand. Courts of New Zealand have exclusive jurisdiction over disputes arising from website use. Engagement disputes follow the dispute clause in the relevant engagement letter, defaulting to New Zealand law and Dunedin as the venue for mediation discussions.

We may revise these terms by posting an updated version on this page. Continued use of the site after changes constitutes acceptance of the revised terms.
